A growing acquisition-focused operating company has expanded through strategic acquisitions across the United States. Today, the organization manages hundreds of legal entities, with a lean legal team providing corporate governance and M&A support across the entire structure.
Challenge: entity data no one fully trusted
Before Athennian, entity management lived primarily in spreadsheets. The legal team inherited legacy records and spent significant time rebuilding and validating information, often verifying entity names and details manually because historical records lacked consistency.
“Before Athennian, we were constantly asked to provide updated entity information, and we weren’t always confident that our information was accurate,” says KB, Senior Corporate Paralegal. “We maintained that information manually in Excel, checking names, formatting and details because we did not have a reliable system of record.”
That uncertainty was the real challenge. Every diligence request, audit, filing or finance inquiry began with the same question: Is this information current?
The team reviewed multiple solutions but needed more than a place to store entity data. Organizational charts added another layer of complexity. With hundreds of entities and ownership structures changing through acquisitions and restructurings, the team needed charts that were easy to generate and understand.
Ultimately, the organization reached a point where entity data needed to become a trusted business resource rather than a spreadsheet that required repeated validation before every transaction, audit or filing.
Solution: a platform aligned with the company's operations
Before selecting Athennian, the team evaluated several entity management solutions. What ultimately stood out was Athennian's reputation, flexibility and willingness to work with the legal team's operational needs.
The company required a platform that could keep pace with ongoing entity changes, maintain reliable records and support a growing volume of governance activities. Throughout the evaluation process, the team found Athennian receptive to feedback and willing to collaborate on practical solutions.
“What stood out was their willingness to work with us. Even if something could not be done immediately, the answer was not simply ‘no,’” says RP, Senior Corporate Paralegal.
That flexibility proved especially valuable for a small legal team responsible for a large and evolving entity portfolio, frequent filings, officer changes, governance documentation and reporting requests.
Results: governance that delivered when it mattered most
KB and RP use Athennian every day. Officer updates, filings, new entity formations, name changes and ownership updates are managed within a single system rather than across multiple spreadsheets and shared folders.
Creating a new entity no longer requires starting from scratch. The two-person team uses pre-built templates with key information already populated, allowing them to focus only on transaction-specific details.
Search functionality has also improved efficiency. Rather than manually reviewing records, users can quickly locate entities through simple searches. Organizational charts are generated directly from the platform and can be readily shared with legal, finance and transaction stakeholders.
Access controls are intentionally structured. Business partners can view entity information as needed while designated legal personnel maintain control over edits, preserving a single source of truth.
The platform was put to the test during a significant due diligence process. The legal team was required to assemble corporate records and governance materials for hundreds of entities under demanding timelines.
Historically, this process would have required locating, scanning, organizing and validating a large volume of physical and electronic records, potentially consuming weeks of effort.
“We recently underwent a significant due diligence process, which required us to provide extensive entity and governance information. Without Athennian, that process would have been extremely difficult to manage,” says KB.
Instead, the team generated corporate books directly from Athennian and uploaded them to the virtual data room.
“With Athennian, we were able to generate the books and complete the process in under two weeks. Without it, there is no way we could have done it as quickly,” says RP.
“Generating the corporate books in Athennian was much faster than the old process of scanning physical records. For a due diligence process requiring a large volume of documentation, it makes a meaningful difference. Without it, we would have needed substantially more resources to complete the project,” KB adds.
Across day-to-day workflows, the team estimates Athennian delivers significant time savings compared to the manual processes previously required to manage entity records and governance activities.
Looking ahead: ready for continued growth
As the organization continues to grow, its entity portfolio is expected to expand alongside it.
With a centralized source of truth, standardized templates, controlled access, flexible reporting capabilities, and virtual minute book generation, the legal team can complete governance work that once required weeks in a matter of days.
For the organization, scalable entity management means more than maintaining accurate records. It enables diligence requests, reporting requirements, governance initiatives and organizational changes to move at the speed of the business.
